Chiptech Customer Web Portal Terms of Use

The Web Portal is provided by Chiptech Limited ("we", "us" or "our"). In these Terms "you", "your" and "user" means the individual accessing and using the Web Portal, or the organisation on whose behalf you do so.

By accessing or using the Web Portal you agree you have read, understand and accept these Terms of Use (Terms).

1. Account

1.1 To access the Web Portal you must follow the initial sign up process as set out on this website.

1.2 You warrant that the information provided in creating your account is accurate and correct. You must maintain and update your information to ensure it is correct at all times.

1.3 You (or your organisation) are responsible for the activity that occurs on your account. You must keep your account log in details and password secure and confidential and must not share them with any other person or permit any other person to use or access your account, including other persons within your organisation.

1.4 You must immediately notify us of any unauthorised use of account details or passwords or any other breach of security by a Web Portal user (or in relation to their access) or any other unauthorised access to the Web Portal.

2. Use of the Web Portal

2.1 The Web Portal contains training videos, instructional documentation and other files (materials) that have been provided for use in connection with our products.

2.2 You may only use this Web Portal in accordance with these Terms. You must not use this Web Portal for any other purpose. You must not use or permit others to use the Web Portal to gain unauthorised access to our materials.

2.3 Materials must be kept confidential and may not be disclosed to any person without our prior written agreement.

2.4 In the event you notice any materials or Web Portal content that does not relate to your organisation or is not intended for your access, you agree to notify us immediately and agree not to use or copy such information for any purpose.

2.5 We reserve the right to alter, or update the Web Portal, and any materials we provide on the Web Portal. Such a change shall take effect immediately. We will not be liable if for any reason all or any part of the Web Portal is unavailable at any time or for any period.

2.6 We reserve the right to suspend or terminate access to the Web Portal, or any materials contained therein, for any reason and without prior notice.

3. Intellectual Property

3.1 The materials, the Web Portal, its contents, features and functionality are either owned by us, the people we licence such material from, or the provider of such material and are protected by New Zealand law.

3.2 We grant you a non-exclusive and non-transferrable licence to download, access view and print the materials for the limited purpose of evaluating and supporting the use of our products.

3.3 No right, title or interest in or to this Web Portal or any content, features or functionality on this Web Portal is transferred to you. Any use of this Web Portal or its contents not expressly permitted by these Terms is a breach of these Terms and may also violate copyright, trademark and other laws.

3.4 You are not permitted to copy, reproduce, alter, modify, create derivative works, publicly display, broadcast or stream any materials or content from our Web Portal without our prior express written permission.

4. Web Portal Disclaimers

4.1 Your use of this Web Portal is at your sole risk and this Web Portal is provided on an "as available" basis. We do not warrant that:

4.1.1 the Web Portal will be uninterrupted, timely, secure, or error-free;

4.1.2 the quality of any information, or other material provided to you through the Web Portal will meet your expectations; and

4.1.3 any errors on the Web Portal will be corrected.

4.2 While we have taken care to ensure information on the Web Portal is correct, we give no undertakings, representations, or warranties in relation to the content of the Web Portal. To the extent permitted by law, we disclaim all liability and responsibility arising from any reliance placed on such information by you or any other user of the Web Portal, or by anyone who may be informed of any of its contents. We reserve the right to correct errors in any such information.

5. Exclusion of Liability

5.1 We make the Web Portal available to you free of charge. Accordingly, you expressly understand and agree that to the maximum extent possible, but subject to any applicable New Zealand laws, we shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from your use of the Web Portal or your reliance on any Web Portal content.

6. Indemnity

6.1 You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute incurred or suffered by us arising out of any breach by you of any provision of these Terms.

7. Privacy

7.1 We may collect, hold, use or disclose personal information, including the personal information of individuals in your organisation, for the purpose of providing the Web Portal. We comply with the Privacy Act 1993 in respect of such information.

8. General

8.1 If there is a conflict or contradiction between these Terms and any other relevant terms governing our relationship, then the latter shall prevail.

8.2 If any provision of these Terms are held by any court to be illegal, void or unenforceable, such determination shall not impair the enforceability of the remaining provisions.

8.3 Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

8.4 These Terms, and your use of this Web Portal, shall be governed by and construed in accordance with New Zealand law, and you agree that the Courts of New Zealand have the non-exclusive jurisdiction to hear and determine any proceedings brought in relation to these Terms, and your use of the Web Portal.
